with a Koenig PTO drive. He says he got the whole thing off a CJ2. I don't know if the Koenig drive will mate up with a Warn overdrive, I'm not sure if the Drive and winch are even compatible, and I have no idea how any of this is going to work with my M38A1. Any opinions?

It will work. You will need the overdrive to pto adapter that herm sells. You also may have to make some modifications to your exhaust.

I've always heard the Koenig is inferior to the Ramsey. Cheaper parts, cheap construction
